01. Acceptance of Terms
By accessing, browsing, cloning, downloading, deploying, or utilizing any website, software repository, digital product, API, application, or consulting service operated by HIGIS WORLD (“HIGIS WORLD”, “we”, “us”, or “our”), you (“User”, “Partner”, “Client”, or “Collaborator”) agree to be legally bound by these Terms of Service.
If you are entering into this agreement on behalf of a corporation, organization, institution, or other legal entity, you represent and warrant that you possess the full legal authority to bind such entity to these Terms. If you do not possess such authority, or if you do not agree with any part of these Terms, you must immediately discontinue all use of our services, repositories, and software products.
02. Mission & Operational Scope
HIGIS WORLD operates as an evolving digital studio and innovation laboratory built upon the core methodology: Hypothesize, Investigate, Generate, and Iterate (H-I-G-I). Our work encompasses three foundational pillars:
- Product Development: We engineer standalone digital products designed to simplify complex workflows, organize knowledge, and empower builders.
- Open Source Ecosystem: We build, maintain, and contribute tools, frameworks, and developer libraries directly to the global open-source commons.
- Collaborative Engineering & Services: We partner with visionary founders, institutions, and enterprise teams to co-develop bespoke solutions and deliver professional technological services.
03. Dual Software Architecture: Open-Source vs. Proprietary
HIGIS WORLD operates a deliberate dual-track software development model. We firmly believe in open knowledge while maintaining enterprise-grade commercial platforms:
Tools designated as open source are licensed under recognized permissive licenses (typically MIT, Apache 2.0, or BSD-3). Your rights to inspect, fork, modify, and redistribute such code are governed directly by the respective license file within each public repository.
Products explicitly designated as proprietary (including hosted SaaS platforms, specialized AI engines, and internal infrastructure) are licensed, not sold. All rights, title, source code, and underlying algorithms remain the exclusive intellectual property of HIGIS WORLD.
Unless explicitly accompanied by an open-source license file in the root repository, software published or provided by HIGIS WORLD is deemed proprietary and protected by international copyright laws. You may not reverse engineer, decompile, disassemble, or circumvent access protections of proprietary products.
04. Co-Creation, Joint Ventures & Collaborations
HIGIS WORLD actively engages with external developers, creators, research groups, and corporate partners to co-create next-generation products. When you enter into a collaborative arrangement with us:
- Collaborative Agreements: Specific joint ventures, co-built products, and shared repositories will be governed by bilateral Co-Creation Agreements or Memorandums of Understanding (MOUs) that supersede generic provisions herein.
- Pre-Existing IP: Each party retains sole ownership of background intellectual property developed independently prior to or outside the collaboration.
- Foreground IP & Co-Ownership: Ownership of newly created code, architectures, and inventions resulting from joint initiatives will be allocated as explicitly defined in the relevant partnership agreement. In the absence of written terms, shared codebases retain mutual non-exclusive commercial licenses.
- Confidentiality: Both parties pledge strict mutual confidentiality regarding unpublished roadmaps, security audits, proprietary algorithms, and strategic business data.
05. Professional Services & Technological Consulting
We provide high-impact technology services, digital studio execution, architectural consulting, and full-lifecycle engineering for clients worldwide. When engaging HIGIS WORLD for services:
- Statements of Work (SOW): All consulting engagements are formalized via signed SOWs specifying project milestones, delivery timelines, engineering deliverables, and compensation structures.
- Client Deliverables: Upon receipt of full payment, clients receive the intellectual property rights to custom deliverables as delineated in the SOW, excluding HIGIS WORLD foundational core libraries, tooling, and reusable templates.
- Service Level Commitments: Professional services are rendered with commercial diligence, industry best practices, and rigorous technical craftsmanship.
06. Security as a Paramount Priority
Security is not a secondary checkbox at HIGIS WORLD—it is woven into every phase of our engineering lifecycle, from exploratory hypotheses to production deployment.
Our Non-Negotiable Security Mandate
Whether engineering public open-source utilities, enterprise SaaS, collaborative modules, or client infrastructure, we mandate strict zero-trust network principles, cryptographic verification, automated dependency vulnerability screening, and prompt patch lifecycles.
Our operational security framework enforces:
- Defense-in-Depth Architecture: Multi-layered defense mechanisms across network transport, application runtime, database isolation, and identity verification.
- End-to-End Encryption: Industry-standard TLS 1.3 protocol enforcement for data in transit and AES-256 GCM encryption for stored assets.
- Zero-Trust Authentication: Strict least-privilege role-based access control (RBAC), multi-factor enforcement, and continuous credential rotation.
- Coordinated Vulnerability Disclosure: We support white-hat security researchers. If you identify an issue in our software or services, report it promptly to security@higisworld.com. We commit to acknowledging receipt within 48 hours and resolving verified vulnerabilities rapidly without threat of legal action against good-faith researchers.
07. Acceptable Use Standards
When accessing HIGIS WORLD platforms, APIs, or hosted environments, you agree that you will NOT:
- Deploy automated scripts, scrapers, crawlers, or fuzzers in a manner that degrades system performance or causes denial of service.
- Probe, scan, or test the vulnerability of our infrastructure without prior explicit written authorization from our security team.
- Distribute malicious payloads, rootkits, trojans, backdoors, or exploit code via our repositories, communication forums, or public issues.
- Use our proprietary platforms or services to develop, host, or disseminate content that violates applicable international laws, infringes copyright, or promotes harm.
- Impersonate HIGIS WORLD employees, core contributors, or system maintainers.
08. Intellectual Property & Trademarks
The name HIGIS WORLD, the HIGI logo, the infinity brand motif, product names (“HIGI Note”, “HIGI CodeLab”, “HIGI Cloud”, “HIGI AI Studio”), design systems, typography arrangements, and graphical assets are trademarks and trade dress owned exclusively by HIGIS WORLD.
Nothing in these Terms grants you any right, title, or interest in our trademarks, logos, or brand identity. You may not use our trademarks without prior written consent, except to truthfully state that your software utilizes our open-source libraries in compliance with our trademark guidelines.
09. Open-Source Community Contributions
We encourage developer contributions, issues, and pull requests across our open-source repositories. When submitting code, documentation, or design assets:
- You certify that the contribution is your original work or that you possess full legal authorization to contribute the code under the applicable repository license.
- You grant HIGIS WORLD a perpetual, worldwide, non-exclusive, royalty-free license to reproduce, prepare derivative works of, publicly display, sublicense, and distribute your contribution.
- You affirm that your contribution contains no unauthorized third-party proprietary code, restrictive patents, or concealed security vulnerabilities.
10. Disclaimers of Warranties
TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW, HIGIS WORLD REPOSITORIES, OPEN-SOURCE CODE, EXPERIMENTAL MODULES, AND DIGITAL CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.
WE SPECIFICALLY DISCLAIM ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT OUR PRODUCTS OR CODE WILL BE UNINTERRUPTED, COMPLETELY ERROR-FREE, FREE OF HARMFUL COMPONENTS, OR THAT DEFECTS WILL BE REMEDIED IMMEDIATELY, EXCEPT AS EXPLICITLY GUARANTEED IN WRITTEN ENTERPRISE SERVICE LEVEL AGREEMENTS (SLAs).
11. Limitation of Liability
IN NO EVENT SHALL HIGIS WORLD, ITS FOUNDERS, DIRECTORS, AFFILIATES, CONTRACTORS, OR PARTNERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF REPUTATION, LOSS OF DATA, SYSTEM DOWNTIME, OR WORK STOPPAGE) ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE OUR SERVICES, CODEBASES, OR REPOSITORIES.
OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO OUR SERVICES OR COMMERCIAL PRODUCTS SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO HIGIS WORLD FOR THE SPECIFIC SERVICE IN QUESTION DURING THE TWELVE (12) MONTHS PRECEDING THE INCIDENT GIVING RISE TO LIABILITY, OR ONE HUNDRED US DOLLARS ($100), WHICHEVER IS GREATER.
12. Suspension & Termination
We reserve the right to suspend or terminate your access to our proprietary services, developer portals, or API keys at our discretion, without prior notice, if we believe in good faith that you have breached these Terms, engaged in security infractions, or acted against the integrity of our community.
Upon termination, all rights granted to you under these Terms regarding proprietary software immediately cease. Sections relating to intellectual property, security reporting, disclaimers, limitations of liability, and governing law shall survive termination.
13. Governing Law, Dispute Resolution & Contact
These Terms of Service shall be governed by and construed in accordance with the laws of Delaware, United States, without regard to conflict of law principles. Any legal suit, action, or proceeding arising out of or related to these Terms shall be instituted exclusively in the competent courts situated in Delaware.
